Privacy Policy

How we collect, use, and protect your information

This Privacy Policy describes how Helivore Therapeutics Ltd., doing business as Medivive ("Company," "we," "us," or "our"), collects, uses, discloses, and protects information obtained through the Medivive website at medivive.com and associated prescriber platform (collectively, the "Platform"). By accessing or using the Platform, you agree to the terms of this Privacy Policy.

The Platform serves licensed healthcare providers ("Prescribers") who prescribe compounded NAD+ pens to their patients ("Patients"). This Privacy Policy applies to all users of the Platform, including Prescribers and any authorized staff who access the Platform on behalf of a Prescriber.

1. Information We Collect

1.1 Prescriber Information

When a Prescriber registers for an account on the Platform, we collect the following information:

  • Full legal name
  • Email address and login credentials
  • Practice name and billing email address
  • Contact information (phone number, mailing address)
  • National Provider Identifier (NPI) number
  • State medical license numbers for each state in which the Prescriber intends to prescribe
  • A photograph of a government-issued identification document for identity verification purposes
  • Payment information (credit card or other payment method) for processing prescription orders

1.2 Patient Information

Prescribers enter Patient information into the Platform in connection with prescribing medication. This information may include:

  • Full name
  • Date of birth
  • Gender
  • Contact information (email address, phone number)
  • Shipping address
  • Relevant medical history
  • Current medications
  • Known allergies

We do not collect Patient payment information. Prescribers are responsible for collecting payment from their Patients independently outside of the Platform.

1.3 Automatically Collected Information

When you access the Platform, we may automatically collect certain information, including your IP address, browser type and version, device identifiers, operating system, pages viewed, access times, and referring URLs. We may use cookies and similar tracking technologies to facilitate Platform functionality and improve user experience.

2. How We Use Your Information

We use the information we collect for the following purposes:

  • To verify Prescriber identity and licensure, including validating government-issued identification and confirming active medical licenses and NPI numbers
  • To operate and maintain the Platform, including processing prescription orders and facilitating fulfillment through our pharmacy partners
  • To process payments from Prescribers for prescription orders
  • To transmit prescription and Patient information to our fulfillment pharmacy for dispensing and shipping
  • To communicate with Prescribers regarding account status, order confirmations, refill notifications, billing reminders, and Platform updates
  • To comply with applicable laws, regulations, and legal obligations, including pharmacy and prescribing regulations
  • To detect, prevent, and address fraud, security issues, or technical problems
  • To improve and optimize the Platform and our services

3. How We Share Your Information

We do not sell personal information. We may share information with the following categories of third parties:

3.1 Pharmacy Partners

We share prescription and Patient information with our licensed fulfillment pharmacy partners as necessary to dispense and deliver prescribed medications directly to Patients. Our pharmacy partners are bound by their own legal and regulatory obligations regarding the handling of patient health information.

3.2 Payment Processors

Prescriber payment information is transmitted to our third-party payment processors to facilitate transactions. We do not store complete credit card numbers on our servers.

3.3 Identity Verification Services

We may share Prescriber identification documents and license information with third-party verification services to confirm identity and licensure status.

3.4 Service Providers

We may engage third-party service providers who perform services on our behalf, such as hosting, data analytics, email delivery, and customer support. These providers are contractually obligated to use personal information only as necessary to provide services to us.

3.5 Legal and Regulatory Compliance

We may disclose information when required by law, regulation, legal process, or governmental request, or when we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request.

3.6 Business Transfers

In the event of a merger, acquisition, reorganization, or sale of all or a portion of our assets, personal information may be transferred to the acquiring entity.

4. Data Retention

We retain personal information for as long as necessary to fulfill the purposes described in this Privacy Policy, comply with our legal obligations, resolve disputes, and enforce our agreements. Prescriber account information is retained for the duration of the account relationship and for a reasonable period thereafter. Prescription records and Patient information are retained in accordance with applicable pharmacy and medical record retention requirements.

Government-issued identification documents submitted for verification purposes are retained only for as long as necessary to complete the verification process, unless longer retention is required by law.

5. Data Security

We implement administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, alteration, disclosure, or destruction. These measures include encryption of data in transit, access controls, and secure storage practices. However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

6. Your Rights and Choices

Depending on your jurisdiction, you may have certain rights regarding your personal information, including:

  • The right to access the personal information we hold about you
  • The right to request correction of inaccurate personal information
  • The right to request deletion of your personal information, subject to legal retention requirements
  • The right to opt out of certain uses of your information

To exercise any of these rights, please contact us using the information provided in Section 12 below. We will respond to your request within the timeframe required by applicable law.

7. Health Information

Medivive operates a prescriber platform that facilitates the transmission of prescriptions to licensed pharmacies. Patient health information entered into the Platform by Prescribers is used solely for the purpose of fulfilling prescription orders. Our pharmacy partners handle Patient health information in accordance with applicable federal and state laws, including the Health Insurance Portability and Accountability Act (HIPAA) where applicable.

Prescribers are independently responsible for their own compliance with HIPAA and other applicable privacy laws with respect to Patient information they collect and manage in their practice.

8. Cookies and Tracking Technologies

We use cookies and similar technologies to operate and improve the Platform. Essential cookies are required for Platform functionality, including maintaining login sessions and processing orders. We may also use analytics cookies to understand how users interact with the Platform. You may adjust your browser settings to refuse cookies, but doing so may limit your ability to use certain features of the Platform.

9. Third-Party Links

The Platform may contain links to third-party websites or services. We are not responsible for the privacy practices or content of those third parties. We encourage you to review the privacy policies of any third-party sites you visit.

10. Children's Privacy

The Platform is not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If we become aware that we have collected personal information from a child without appropriate consent, we will take steps to delete that information.

11. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. We will notify registered users of material changes by email or by posting a notice on the Platform. The "Effective Date" at the top of this Privacy Policy indicates when it was last revised. Your continued use of the Platform after any changes constitutes your acceptance of the revised Privacy Policy.
