Please read these terms carefully before using our platform
These Terms of Service ("Terms") govern your access to and use of the website, platform, and services provided by Helivore Therapeutics Ltd., doing business as Medivive ("Company," "we," "us," or "our"), located at medivive.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
Medivive operates an online prescriber platform that enables licensed healthcare providers ("Prescribers") to register, manage patient information, and submit electronic prescriptions for compounded NAD+ prefilled injector pens. Prescriptions submitted through the Platform are transmitted to a licensed fulfillment pharmacy, which dispenses and ships the prescribed medication directly to Patients. Medivive does not practice medicine, provide medical advice, or establish a physician-patient relationship with any Patient.
The Platform is available exclusively to licensed healthcare providers who are authorized to prescribe medication in the United States. To register for a Prescriber account, you must provide a valid National Provider Identifier (NPI) number, active state medical license numbers for each state in which you intend to prescribe, and a photograph of a government-issued identification document. Your account will not be activated until we have verified your identity and credentials.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. You must ensure that all information you provide during registration and throughout your use of the Platform is accurate, current, and complete. We reserve the right to suspend or terminate any account that contains false or misleading information.
Prescribers may authorize staff members to access and use the Platform on their behalf. The Prescriber remains fully responsible for all actions taken through the account by authorized users, including the accuracy of patient information entered and prescriptions submitted.
You represent and warrant that each prescription you submit through the Platform is based on a valid prescriber-patient relationship and your professional medical judgment. You are solely responsible for determining whether NAD+ therapy is appropriate for each Patient, establishing proper dosing, and monitoring your Patients' health outcomes. Medivive does not review, approve, or validate the clinical appropriateness of any prescription submitted through the Platform.
You are responsible for obtaining any necessary consents from Patients before entering their personal and medical information into the Platform. You warrant that all Patient information you submit is accurate and complete. You acknowledge that Patient information will be shared with our fulfillment pharmacy for the purpose of dispensing and delivering prescribed medications.
You agree to comply with all applicable federal, state, and local laws and regulations governing the prescribing and dispensing of compounded medications, including but not limited to requirements of the Drug Enforcement Administration (DEA), state pharmacy boards, and state medical licensing boards. You are independently responsible for your own regulatory compliance.
When you submit a prescription through the Platform, you are placing an order for the prescribed medication on behalf of your Patient. Each order will be fulfilled by our licensed pharmacy partner and shipped directly to the Patient at the shipping address provided.
The current prescriber cost for each NAD+ pen is listed on the Platform and is subject to change upon notice to you. Shipping charges apply to each order. We will notify you of any pricing changes before they take effect.
Prescribers are required to add a valid payment method to their account. Your payment method will be charged for each prescription order submitted through the Platform, including initial orders and refills. You are responsible for ensuring your payment method remains valid and current.
The Platform does not accept payments from Patients. Prescribers are solely responsible for collecting payment from their Patients. The recommended retail price is provided as a guideline; Prescribers may set their own patient pricing. All sales are cash-pay only and are not eligible for insurance reimbursement.
Prescribers may authorize refills at the time a prescription is submitted. If auto-refill is enabled, the Prescriber's payment method will be charged automatically for each refill order. We will send a notification to the Prescriber's designated practice email address in advance of each auto-refill to allow the Prescriber to collect payment from the Patient or cancel the refill if necessary. The Prescriber is responsible for managing refill settings and ensuring Patient payment is collected for each refill.
All prescriptions are fulfilled by our licensed pharmacy partner. Medications are shipped via cold-chain shipping to ensure product integrity. Medivive and its pharmacy partners are not responsible for delays caused by shipping carriers, incorrect shipping addresses provided by the Prescriber, or the Patient's failure to accept delivery. Products must be stored as directed (refrigerated at 2–8°C) upon receipt.
Because prescriptions are compounded specifically for individual Patients, all sales are final once a prescription has been submitted to the pharmacy for fulfillment. We are unable to accept returns of dispensed medication. If you believe an order was placed in error, please contact us immediately at clyde@medivive.com and we will work to resolve the issue on a case-by-case basis, provided the prescription has not yet been dispensed.
All content on the Platform, including text, graphics, logos, trademarks, images, software, and other materials, is the property of Helivore Therapeutics Ltd. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Platform without our prior written consent, except as reasonably necessary to use the Platform for its intended purpose.

Certain materials provided through the Platform, including prescriber guides, clinical documentation, and pricing information, are designated as confidential and intended only for licensed medical professionals. You agree not to share, distribute, or disclose such materials to any unauthorized person or entity.
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any information on the Platform.
Medivive does not provide medical advice and makes no representations or warranties regarding the safety, efficacy, or clinical outcomes of any product available through the Platform. All prescribing decisions are the sole responsibility of the Prescriber.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELIVORE THERAPEUTICS LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Helivore Therapeutics Ltd. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) any prescription you submit through the Platform; (c) any breach of these Terms; (d) any violation of applicable law or regulation; (e) any claim by a Patient or third party relating to your prescribing practices or the care you provide; or (f) any inaccuracy in information you provide through the Platform.
We may suspend or terminate your account and access to the Platform at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting us. Upon termination, your right to access and use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 10, 11, 12, 14, and 15.
Termination of your account does not relieve you of any obligation to pay for orders already submitted or fulfilled, nor does it affect any rights or obligations that accrued prior to termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.
These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Medivive regarding your use of the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms.
